PLEASE READ THESE RULES CAREFULLY PRIOR TO PARTICIPATION OR ENTRY. NO PURCHASE IS NECESSARY TO REGISTER, ENTER, OR WIN. OPEN ONLY TO INDIVIDUALS AGED 18 OR OLDER, OR AGED 13–17 WITH PARENT OR LEGAL GUARDIAN PERMISSION, WHO ARE LEGAL RESIDENTS OF THE 50 UNITED STATES OR THE DISTRICT OF COLUMBIA. From time to time, Pink Lily may offer sweepstakes and/or contests on its official third-party social media pages, such as Instagram and Facebook (collectively, the "Social Media Sites"), and/or on its website (www.pinklily.com). Each such giveaway or sweepstakes is referred to as a "Social Media Giveaway" or "Giveaway." The social media post setting forth the method of entry for a Giveaway is referred to as the "Giveaway Social Media Post." By submitting an entry, you agree to be bound by these Official Rules and the rules on the Giveaway Social Media Post, and you acknowledge that you satisfy all eligibility requirements. Social Media Giveaways are created and sponsored by Pink Lily, 472 Century Street, Bowling Green, Kentucky 42101 ("Sponsor"). By participating, you also agree to the Pink Lily website terms of service, available at https://pinklily.com/policies/terms-of-service and incorporated herein by reference.

Eligibility

Open to individual legal residents of the 50 United States or the District of Columbia who are (a) the older of 18 years of age or the age of majority in their state of residence, or (b) aged 13–17 with the permission of a parent or legal guardian. If a potential winner is a minor, the prize will be awarded to the winner's parent or legal guardian, who must complete any required winner documentation on the minor's behalf.

The following individuals are not eligible to enter or win: current or former (within the immediately preceding 12 months) employees, officers, directors, and contractors of Pink Lily; anyone involved in the administration of the Giveaway; and any member of the immediate family (i.e., parent, sibling, child, or grandchild) or household of any of the foregoing individuals.

Giveaway Period

The Giveaway begins at 8:00 AM Central Time (CT) on Wednesday, October 7, 2026, and ends at 11:59 PM CT on Wednesday, October 14, 2026 (the "Entry Period"). Entries submitted before or after the Entry Period will not be eligible. Sponsor's computer is the official timekeeping device for the Giveaway. The winner will be selected on Thursday, October 15, 2026.

To complete your entry in this Giveaway, you MUST complete all required actions for the applicable social media platform through which you are entering during the Entry Period:

 Access the Giveaway landing page through the link provided in the Giveaway Social Media Post, and complete and submit the entry form as instructed. Submission of the entry form is required to complete your entry. By completing the form, you agree to receive marketing emails and SMS from Pink Lily. You may unsubscribe at any time using the link in any email.

BONUS ENTRY: Entrants may receive one (1) additional entry by sharing the Giveaway Social Media Post to their Story on the platform through which they entered (Instagram Story or Facebook Story). Your account must be public, or the Story must otherwise be visible to Pink Lily, for the bonus entry to be counted. Limit one (1) bonus entry per account.

Eligible entries received through Instagram and Facebook will be combined into a single pool, from which three (3) winners will be selected.

Entry Requirements

If any part of your Entry is in the form of an original photograph or comment, you warrant and represent that: your Entry is original and does not infringe the intellectual property rights of any third party; you own or have the necessary licenses, rights, consents, and permissions to publish and exploit the Entry; the Entry does not feature trademarks, logos, or brand names other than Pink Lily; and the Entry is not made for any improper purpose, such as to intimidate or harass any individual or to ridicule, disparage, or embarrass Pink Lily.

You grant Pink Lily a royalty-free, irrevocable, transferable, sublicensable, non-exclusive, perpetual license throughout the universe, in any and all media now known or hereafter devised, to use and exploit the Entry (including without limitation by reproduction, distribution, public display, adaptation, communication to the public, and/or public performance, and including for commercial purposes); waive, to the full extent permitted by law, any and all claims against Pink Lily related to moral rights in the Entry; and, except where prohibited, grant permission to have the Winner's name, likeness, and identity used for promotional purposes by Pink Lily without additional compensation.

Number of Entries: Limit one (1) Entry per person, regardless of whether the entrant completes the entry requirements through Instagram, Facebook, or both, plus one (1) bonus entry as described above. Completing the entry requirements on both Instagram and Facebook will not results in an additional Entry. Any Entries exceeding these limits will be deemed ineligible.

To preserve the integrity of the Giveaway, Pink Lily may ask for additional information, which will be used for fraud prevention.

No Entry shall contain any language or imagery that Pink Lily deems, in its sole and absolute discretion, to be inappropriate, indecent, obscene, hateful, tortious, defamatory, or that promotes discrimination on the basis of race, gender, religion, nationality, disability, sexual orientation, or age. Pink Lily reserves the right, in its sole discretion, to disqualify any Entry that contains any such language or imagery or that may otherwise violate any law.

Late, incomplete, and/or inaccurate Entries and Entries not complying with all Rules are subject to disqualification. Any form of automated entry, including the use of macros, scripts, or bots, will be disqualified. By entering, each person who participates (each a "Participant") agrees to be fully and unconditionally bound by these Rules and represents and warrants that he/she meets the eligibility requirements set forth herein and that each Entry complies with these Rules in full.

Entering this Giveaway does not make you eligible for prizes in any other Giveaway unless you enter each Giveaway separately.

Prize

Three (3) Winners will each receive one (1) Pink Lily Christmas prize box (each, a "Prize"). Each Prize contains:

Approximate retail value ("ARV") of each Prize: $414. Total ARV of all three (3) Prizes: $1,242. There will be three (3) Winners and no other prizes. Limit one (1) Prize per person. Odds of winning depend on the number of eligible entries received.

The Winner will be asked to provide apparel and footwear sizes. Sizes and colors are subject to availability; if a selected size or item is unavailable, Pink Lily may substitute an item of equal or greater value. The Prize will be shipped at no cost to the Winner to a valid address in the 50 United States or the District of Columbia. The Pink Lily Gift Card is subject to the terms and conditions delivered with the gift card, has no cash value, and cannot be redeemed for cash except where required by law.

The Winner is solely responsible for any and all federal, state, and local taxes resulting from acceptance of the Prize and for all costs and expenses related to the Prize not specifically mentioned herein. The Winner may be required to complete a prize acceptance and eligibility verification form; failure to return it within the time requested may result in forfeiture of the Prize.

The Prize is awarded "AS IS" and WITHOUT WARRANTY OF ANY KIND, express or implied (including, without limitation, any implied warranty of merchantability or fitness for a particular purpose). The Prize is nontransferable and may not be assigned or redeemed for cash. No cash or other prize substitutions are permitted except at Pink Lily's sole discretion. Pink Lily reserves the right to substitute the Prize, or any part of it, with a gift card or other prize of equal or greater value.

Grant of Rights

By accepting the Prize, the Winner agrees, where imposing such condition is legal, to grant Pink Lily and its designees the irrevocable, royalty-free right to publish, disseminate, and use the Winner's name, Instagram handle, and city and state of residence without further notice, permission, or consideration, in perpetuity, throughout the world, in all media and formats now known or hereafter invented, in connection with the execution and promotion of the Giveaway, and will confirm consent to such use in writing upon request.

Selecting and Notifying the Winner

Three (3) Winners will be selected by random drawing from among all eligible entries received during the Entry Period on or about October 15, 2026. Limit one (1) prize per person.

The Winners will be notified via direct message to the Instagram or Facebook account associated with each winning Entry and must respond within two (2) business days of notification to claim the Prize. If the Winner does not respond within two (2) business days, is found ineligible, or is unable to accept or use the Prize, the Prize will be forfeited and an alternate Winner may be selected from the remaining eligible entries. Pink Lily will ONLY contact the Winners from Pink Lily's official Instagram or Facebook account and will never ask for payment or banking information to claim a prize.

Terms

All federal, state, and local laws and regulations apply, and the Giveaway is void where prohibited. Pink Lily reserves the right, in its sole discretion, to cancel, terminate, modify, or suspend the Giveaway should a virus, bugs, non-authorized human intervention, fraud, or other causes beyond its control corrupt or affect the administration, security, fairness, or proper conduct of the Giveaway. In such case, Pink Lily may select the Winner from all eligible Entries received prior to and/or after (if appropriate) the action taken by Pink Lily. Pink Lily reserves the right, in its sole discretion, to disqualify any individual who tampers or attempts to tamper with the entry process or the operation of the Giveaway or who violates these Rules. Pink Lily is not responsible for lost, late, illegible, incomplete, damaged, misdirected, or delayed Entries, or for technical or human errors or failures of any kind in connection with the submission, transmission, processing, or selection of Entries or the winning Entry, including without limitation any malfunctions or failures of computer hardware, software, networks, or telephone equipment, any technical problems or traffic congestion on the Internet or at any website, or late, lost, damaged, or postage-due mail. Caution: Any attempt by a person to deliberately damage any website or undermine the legitimate operation of the Giveaway is a violation of criminal and civil laws, and should such an attempt be made, Pink Lily reserves the right to seek damages from any such person to the fullest extent of the law. Pink Lily is not responsible for any typographical or other error in the printing of the offer, the administration of the Giveaway, or the announcement of the Prize. Pink Lily shall not be responsible for retaining copies of any Entry.

These Rules set forth the entire agreement and understanding between Pink Lily and Participant concerning the subject matter hereof and supersede all prior discussions, agreements, and understandings of any kind between them. Notwithstanding anything herein to the contrary, Pink Lily reserves the right, in its sole discretion, at any time to terminate, modify, or suspend the Giveaway for any reason. Participant shall be deemed an independent contractor, and nothing herein shall constitute employment, a joint venture, or a partnership. Pink Lily's failure to enforce any provision of these Rules shall not constitute a waiver of that provision. If any provision of these Rules is found to be invalid or unenforceable by a court of competent jurisdiction or appointed arbitrator, such determination shall in no way affect the validity or enforceability of any other provision. Section titles are for convenience only and shall not be given any legal effect. The word "including" means "including but not limited to." Pink Lily may, in its sole discretion, disqualify any individual found to be acting in an unsportsmanlike or disruptive manner or with intent to annoy, abuse, threaten, or harass any other person.

If there is a dispute as to the identity of an entrant, the Prize will be awarded to the authorized account holder of the Instagram account associated with the winning Entry, as registered with Instagram at the actual time of entry. Pink Lily shall have no liability for a Winner's failure to receive notices due to the Winner's failure to check Instagram messages (including message requests), privacy or security settings, or the Winner's provision of incorrect or non-functioning contact information.

No more than the number of prizes stated in these Rules will be awarded. Any prize not claimed within the time stated may be forfeited and returned to Pink Lily. If any technical or other errors occur in the selection of a potential winner, or if more prizes are claimed than the number of prizes specified, Pink Lily may award the Prize by random drawing from among all eligible claimants.

Limitation of Liability

By entering, each Participant agrees to release and hold harmless Pink Lily and its affiliates, advertising and promotion agencies, partners, representatives, agents, successors, assigns, employees, officers, and directors (collectively, the "Sponsor Parties") from any liability, illness, injury, death, loss, litigation, claim, or damage that may occur, directly or indirectly, whether caused by negligence or not, from (i) such Participant's participation in the Giveaway and/or acceptance, possession, use, or misuse of the Prize or any portion thereof; (ii) technical failures of any kind, including any loss or damage to any Entry; (iii) the malfunctioning of any computer, cable, network, hardware, or software; (iv) the unavailability or inaccessibility of any transmissions, telephone, or Internet service; (v) unauthorized human intervention in any part of the entry process or the Giveaway; or (vi) electronic or human error in the administration of the Giveaway or the processing of Entries, to the maximum extent allowed by law. Some jurisdictions may not permit certain liability limitations or waivers; in such jurisdictions, liability shall be limited to the greatest extent permitted by law.

All Decisions Final

All decisions of Pink Lily and the Sponsor Parties are final and binding in all respects.

Disputes

THE GIVEAWAY IS GOVERNED BY THE LAWS OF THE UNITED STATES OF AMERICA AND THE COMMONWEALTH OF KENTUCKY, WITHOUT RESPECT TO CONFLICT OF LAW DOCTRINES. As a condition of participating, to the fullest extent allowed by law, Participant agrees that any and all disputes, claims, causes of action, or controversies arising out of or in connection with the Giveaway shall be resolved in arbitration individually, without resort to any collective, class, or aggregate action, as set forth in the Terms of Service of the pinklily.com website. By submitting an Entry, each Participant irrevocably waives, to the greatest extent allowed by law, any right to seek and/or obtain rescission and/or equitable and/or injunctive relief. Under no circumstances will Participant be permitted to obtain awards for, and Participant hereby waives all rights to claim, punitive, incidental, or consequential damages, including reasonable attorneys' fees, other than Participant's actual out-of-pocket expenses (i.e., costs associated with entering the Giveaway), and Participant further waives all rights to have damages multiplied or increased.

NOTWITHSTANDING ANYTHING TO THE CONTRARY, IN NO EVENT WILL PINK LILY OR THE SPONSOR PARTIES BE LIABLE TO ANY PARTICIPANT OR ANY THIRD PARTY FOR ANY SPECIAL, INCIDENTAL, OR CONSEQUENTIAL DAMAGES, LOSS OF REVENUES, LOST PROFITS, LOST CAPITAL, OR OVERHEAD, WHETHER BASED ON BREACH OF CONTRACT, TORT (INCLUDING NEGLIGENCE), OR OTHERWISE, WHETHER OR NOT SPONSOR HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Miscellaneous

You agree that Pink Lily's decisions related to the Giveaway and all distribution of prizes are final. The Winner agrees that Pink Lily may use the Winner's name in any manner and in any medium for its promotional purposes without additional compensation, including posting in a winner's list, except where prohibited by law, and that Pink Lily may be required to disclose the Winner's address to state regulatory authorities.

Privacy Policy

Information submitted in connection with the Giveaway will be treated in accordance with the pinklily.com Privacy Policy (https://pinklily.com/policies/privacy-policy). Submissions made through Instagram are also subject to Instagram's privacy policy.

Name of Winner

The names of the three (3) Winners will be announced on Pink Lily's official Instagram and Facebook on or about October 15, 2026. To obtain the names of the Winners, after the announcement, send a self-addressed, stamped envelope marked "Instagram Christmas Giveaway Oct. 15, 2026" to Pink Lily, 472 Century Street, Bowling Green, Kentucky 42101.

This Giveaway is in no way sponsored, endorsed, or administered by, or associated with, Instagram, Facebook, Meta Platforms, Inc., or any other third-party social media site (the "Social Media Sites"). By entering, each Participant fully releases the Social Media Sites and their subsidiaries, affiliates, advertising and promotion agencies, partners, representatives, agents, successors, assigns, employees, officers, and directors (collectively, the "Social Media Sites Parties") from any and all liability, and in no instance shall the Social Media Sites Parties be liable for any disputes, claims, causes of action, or controversies arising out of or in connection with this Giveaway.
